This Acceptable Use Policy (this “Policy”) governs all access to and use of the Services by Customer and its Authorized Users. It is incorporated by reference into the Master Subscription Agreement between SkaleData, Inc. (“SkaleData”) and Customer under Section 3.4 of that agreement, and it applies on the same terms where Customer's use of the Services is governed by the Terms of Service rather than by a Master Subscription Agreement. In this Policy, “Agreement” means whichever of those two documents governs Customer's use of the Services. Capitalized terms not defined in this Policy have the meanings given in the Agreement.
This Policy describes conduct that is prohibited on the Services and how SkaleData responds when that conduct occurs. It grants no rights and imposes no obligations beyond those set out in the Agreement. In the event of a conflict between this Policy and the Agreement, the Agreement controls, as provided in Section 13.10 of the Master Subscription Agreement.
This Policy applies to Customer, to each Authorized User, and to any other person Customer permits to access the Services through Customer's account, whether by way of the SkaleData web console, the SkaleData management APIs, the SkaleData command-line interface, or any other interface SkaleData makes available. Customer is responsible for the acts and omissions of its Authorized Users under this Policy to the same extent as under Section 3.3 of the Master Subscription Agreement.
The purpose of this Policy is to keep the Control Plane that SkaleData operates on behalf of all of its customers secure, available, and lawful to run. It is written to be read alongside the use restrictions in Section 3.4, the Customer Data obligations in Section 4.2, and the compliance obligations in Section 12 of the Master Subscription Agreement, and it is not intended to extend them.
Customer shall not, and shall not permit any Authorized User or other person to, engage in any of the following conduct.
2.1 Malicious Code and Unlawful Content. Use the Services to deploy, host, or distribute malicious code or malware, or content that violates applicable law.
2.2 Infringing Content. Use the Services to store, process, or transmit content that infringes or misappropriates the Intellectual Property Rights or other rights of a third party, or that Customer is not authorized to store, process, or transmit.
2.3 Circumvention of Controls. Circumvent, or attempt to circumvent, any rate limit, authentication, authorization, billing, or other access control implemented by SkaleData.
2.4 Harm to the Control Plane and to Other Customers. Use the Services in any manner that harms the integrity, security, availability, or performance of SkaleData's infrastructure, including the shared Control Plane, or that of any other SkaleData customer.
2.5 Access to Another Customer's Environment. Access, or attempt to access, another SkaleData customer's organization, clusters, Customer Cloud Environment, or data, or any account, system, or data within the Services that Customer is not authorized to access.
2.6 Unauthorized Security Testing. Conduct penetration testing, vulnerability scanning, load testing, or other security testing against the Control Plane without SkaleData's prior written permission. This restriction does not apply to the Customer Cloud Environment or to the workloads Customer deploys there, which Customer may test at any time. 2.7 Scraping and Systematic Extraction. Scrape, crawl, or systematically extract data from SkaleData's user interfaces or APIs, or otherwise access the Services other than in accordance with the Documentation.
2.8 Resale and Commercial Exploitation. Resell, sublicense, lease, transfer, assign, disclose, or otherwise commercially exploit the Services, use the Services to provide services to third parties, or allow any third party other than an Authorized User to access or use the Services.
2.9 Export Controls and Sanctions. Use the Services, or make the Services available to any person, in violation of export-control laws and regulations or economic sanctions, including by accessing or using the Services from a country or territory subject to comprehensive U.S. trade sanctions or on behalf of a person on a U.S. government list of restricted parties.
The restrictions in Sections 3.4 and 4.2 and the compliance obligations in Section 12 of the Master Subscription Agreement apply in full. Nothing in this Section 2 narrows them, and where a restriction in this Policy reads more broadly than its counterpart in the Agreement, the Agreement's formulation governs.
The Services operate on a Bring Your Own Cloud architecture. Customer's workloads run inside the Customer Cloud Environment rather than on SkaleData's infrastructure, and Customer is solely responsible for the security, configuration, and lawful operation of that environment and for the code, configurations, workflows, and content that Customer and its Authorized Users deploy into it, as set out in Section 3.2 of the Master Subscription Agreement.
SkaleData does not review, approve, or monitor Customer's DAGs, connectors, queries, or data, and this Policy is not a restriction on what Customer may run in its own cloud. Conduct inside the Customer Cloud Environment comes within this Policy where it reaches the Services — for example, where a workload is used to attack or degrade the Control Plane, to circumvent an access control, or to carry out any of the conduct described in Section 2 through a feature of the Services.
4.1 Notice and Opportunity to Correct. Where SkaleData becomes aware of conduct that violates or may violate this Policy, SkaleData will make reasonable efforts to notify Customer before restricting Customer's access and will work with Customer to resolve the issue promptly.
4.2 Suspension. SkaleData may suspend Customer's access to the Services in accordance with Section 8.5 of the Master Subscription Agreement, including immediately and without prior notice where SkaleData reasonably suspects that Customer has breached the use restrictions in Section 3.4 or that Customer is using the Services in a manner that is or may cause material harm to the security of the Services, to SkaleData, or to any third party.
4.3 Termination. Where SkaleData has suspended Customer's access and that access has not been reinstated within thirty (30) days from the date of suspension, SkaleData may terminate the Agreement or the applicable Order Form in accordance with Section 8.4 of the Master Subscription Agreement.
4.4 Restoration. SkaleData will restore Customer's access as soon as the reason for the suspension is resolved, as provided in Section 8.5 of the Master Subscription Agreement.
4.5 Other Remedies. The measures described in this Section 4 are in addition to, and do not limit, any other right or remedy available to SkaleData under the Agreement or at law. This Policy does not oblige SkaleData to enforce it against any other customer.
To report conduct that may violate this Policy, write to legal@skaledata.com. A report should describe the conduct, identify the SkaleData organization, cluster, or resource involved if it is known, and state when the conduct was observed. SkaleData will review reports sent to that address and may take any of the measures described in Section 4. SkaleData may contact the person making the report for further information and may contact the customer whose use is the subject of the report.
Notices under the Agreement are given as provided in Section 13.5 of the Master Subscription Agreement. This Section 5 is a reporting channel and does not replace that procedure.
SkaleData may update this Policy from time to time. SkaleData will provide Customer with at least thirty (30) days' advance notice of any material change to this Policy. Changes that do not materially expand the restrictions on Customer, including clarifications, corrections, and changes that narrow a restriction, may take effect immediately upon notice.
